Futera United is a collection of digital artworks (so called Non-Fungible Tokens or “NFTs”) utilising blockchain technologies on the Ethereum network. The www.futeraunited.com website is only an interface allowing participants to purchase these digital collectibles. Users are entirely responsible for the safety and management of their own private wallets and validating all transactions and contracts generated by this website before approval. Furthermore, as the Futera United smart contract runs on the Ethereum network and is therefore bound by its immutability, there is no ability to undo, reverse, or restore any transactions, i.e. we are unable to offer refunds on any transactions. NFT purchasers are responsible for their own gas fees and any costs relating to purchase and we are not responsible for any loss associated with your purchase, use of cryptocurrency and/or currency movements and no claims or refunds can be made following transactions.

This website, our smart contract, and all connected services related to the Futera United name and/or project are provided “as is” without any warranty or promise of availability of services of any kind. By using this website and minting the digital collectibles, you are accepting sole responsibility for any and all transactions involving Futera United collectibles.

What you own

Purchase of a Futera United NFT is for a Futera United digital card collectible. You will own the rights to your Futera United NFT digital card and the underlying art so long as you continue to own and control the related NFT but which at all times excludes any commercial rights to use and/or claims to the brand “Futera" or "Futera United” in part or in whole. Ownership of the NFT is mediated entirely by our smart contract. At no point can we seize, freeze, or otherwise modify the ownership of any NFT. You may assign some of these rights to other projects, but any future transfer of your NFT will be subject to those rights that you have already assigned. You can put your Futera United NFT card graphic/image/avatar on clothing and merchandise, include them in video games and video projects, and generally do whatever you want with your Futera United NFT card graphic/image/avatar however you cannot use either of the brand names “Futera” or “Futera United” in part or in whole on any product unless connected directly to the name or the “#” and the number of your Futera United NFT signifying the NFT you own. You agree not to use your Futera United NFT in any project or derivative work that involves hate speech, racism, pornography, or any other illegal content, or in relation to any content not deemed legal by a country or state where use is intended.

Purchase of a Futera United NFT does not entitle you to any rights to, share or ownership of the brand “Futera" and/or "Futera United” and/or the Futera United team/club or project in part or in whole and/or any other asset associated with the project. As a Futera United NFT holder you will have access to the full range of activities, competitions and initiatives available through the published Roadmap and/or as described/updated, including being able to participate as a ‘virtual manager’ within an online community by way of voting on decisions such as kit design and player tactics of a real football team, and in addition you will have access to further initiatives which may be added from time to time for the enjoyment of NFT holders.

Futera Digital Limited is fully committed to its Roadmap of activities and aims to develop the Futera United activity and grow the community. The Roadmap outlines targets and future goals we aim to accomplish. While we fully intend to accomplish those goals, we cannot make any guarantees of the NFT collection selling or reaching certain targets, nor can we guarantee any further developments or services. Aspects of the Roadmap activities and/or the football team activity, its location or structure are subject to change or modification. By minting a Futera United NFT, you agree that you are not relying on any future targets, hopes or commitments relating to the Futera United project nor on the value or future value of your NFT digital card purchase.

Ongoing activities and initiatives may be added to the Futera United Roadmap at the discretion of Futera Digital Limited. Description, content and terms are subject to change. Dates & times of games, streams. product and/or activity release: please check for updates which may be necessary in the event of unforeseen circumstances (e.g. lockdowns/streaming or internet restrictions)

PURCHASE FROM & SHIPPING TO HONG KONG
We regret that we are not able to supply our products to your country. If you place an order for a product that we are unable to ship to your country, we will necessarily have to cancel your order and refund any payment that you have made. We can not be responsible for any loss or damage that may occur due to the cancellation of your order.

Limitations of liability

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, FUTERA DIGITAL LIMITED DOES NOT MAKE ANY REPRESENTATIONS OR WARRANTIES AND EXPLICITLY DISCLAIMS ALL OTHER REPRESENTATIONS AND WARRANTIES, WHETHER EX-PRESS, IMPLIED, WRITTEN, ORAL OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, AND WARRANTIES OTHERWISE ARISING FROM A COURSE OF DEALING, COURSE OF PERFORMANCE OR USAGE OF TRADE.

You agree to not hold Futera Digital Limited responsible for any losses you may incur as a consequence of minting your NFT or your participation in the project’s utility, whether due to internet connection issues, demand outstripping supply, or other unforeseen problems. These potential losses include any gas fees for failed transactions, any excessive gas fees charged due to website or smart contract bugs, and any loss of your NFT due to website or smart contract bugs.

ANY AGGREGATE LIABILITY SHALL IN NO EVENT EXCEED THE ORIGINAL PURCHASE PRICE OF THE FUTERA UNITED NFT PAID PURSUANT TO THE APPLICABLE PROJECT TO WHICH THE APPLICABLE CLAIM RELATES.

Indemnity: You agree to indemnify and hold Futera Digital Limited and/or Futera Limited, or any entity within the Futera network, their officers, directors, shareholders, successors in interest, employees, agents, subsidiaries and affiliates, harmless from any demands, loss, liability, claims or expenses (including attorneys’ fees), made against Futera Digital Limited and/or Futera Limited by any third party due to or arising out of or in connection with your use of the Site and its services.

Futera Digital Limited, Futera Limited and/or any entity within the Futera network expressly disclaim liability for actions or decisions taken or not taken based on any or all contents of its website and/or social media sites.

Violation of These Terms of Use

Futera Digital Limited may disclose any information we have about you (including your identity) if we determine that such disclosure is necessary in connection with any investigation or complaint regarding your use of the Site or for fraud protection purposes. You agree that Futera Digital Limited may, in its sole discretion and without prior notice, terminate your access to the Site and/or block your future access to the Site if we determine that you have violated these Terms of Use or other agreements or guidelines which may be associated with your use of the Site.

Void where prohibited: Any offer for any feature, product or service made on the Site is void where prohibited. By choosing to access the Site, you do so on your own initiative and you are solely responsible for complying with applicable local laws.

Further, you agree to the following:

* A Futera United NFT is not offered as or intended to be an investment. Futera Digital Limited makes no claims or guarantees that your NFT will be worth anything. You understand that a Futera United NFT has no inherent monetary value, and that it should be treated as nothing more than a rare collectible digital card.

* The Futera United roadmap outlines targets and future goals we aim to accomplish. While we fully intend to accomplish those goals, no guarantee is provided, and at any time provision of services may be adversely affected by circumstances beyond our control including impact from pandemic or other force majeure on services and utilities. We cannot make any guarantees of the project selling or reaching certain targets, nor can we guarantee any further developments or services. By minting a Futera United NFT, you agree that you are not relying on any future targets, goals or commitments relating to the Futera United project and that you understand that the purchase of a Futera United NFT does not entitle you to any share or ownership of the Futera United team/club or any other asset associated with the project.

* You are entirely responsible for any tax liability which may arise from minting or reselling your Futera United NFT.

* You agree to waive any class action status, and any legal dispute relating to the Futera United project which you may choose to bring can only be done on an individual basis.

* The Futera United project is not targeted towards children. You agree that you are over the age of 18, or above the legal age for the jurisdiction of your country, whichever is higher.

Content and services

Futera Digital Limited makes no representation that information or material contained herein, and/or its services or products, are appropriate for use or sale in other jurisdictions. Users who access our Network/website(s) and purchase our products and/or services from other jurisdictions do so at their own initiative and are responsible for compliance with any local laws.

The purpose of the Futera United Discord facility is for the exchange of commentary, viewing information about Futera United activities and/or videos and posting comments. Please share your opinions, content and feedback in a respectful manner. By accessing, viewing and/or posting any content to the Discord or any other Futera-associated sites you accept, without limitation or qualification our Terms of Use as well as any other terms of use required by the company that owns and operates the underlying social media site (e.g. as required by Facebook, Twitter, Discord, etc.). If you do not agree you may not view or post any content to any Futera-associated social media site on the internet.

You hereby agree that you will not violate any laws or regulations including another's copyright or intellectual property rights. You also agree that you will not transmit any material that is unlawful, disruptive, threatening, profane, abusive, harassing, tortuous, defamatory, libelous, or is an invasion on another’s privacy, is hateful or facially, ethnically or otherwise objectionable as solely determined by Futera Digital, impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity, transmit any unsolicited or unauthorised advertising, promotional materials or any form of solicitation, transit any material that contains any kind of virus, spyware or malware, or content that is sensitive, confidential, proprietary or non-public, and that you will not post financial recommendations, nor post any content comprising or relating to hate speech, racism, pornography, gambling, or any other illegal content, or in relation to any content not deemed legal by a country or state where use is intended.

The Futera network reserves the right to moderate all content and remove information or language considered offensive and to block users who violate our guidelines. We may delete, remove or hide the following posts at our discretion: Posts that include fraudulent, inaccurate, libelous or misleading information about our products, services and company or its competitors and/or are otherwise deemed as being inappropriate commentary or content; Posts that spam, solicit or endorse any commercial, financial, political organisation, including unauthorised marketing messages or URLs to external sites for promotional purposes.

Despite efforts to keep information timely and accurate, users should be aware that the information available through social media accounts may not be timely, accurate, or complete. Comments and/or posts expressed on this site by any party do not necessarily reflect the opinions or positions of Futera Digital Limited and/or any entity within the Futera network, its officers, agents, affiliates, or employees nor does the Futera network guarantee the accuracy of information posted. Furthermore, publication of a comment or post does not imply endorsement of or agreement by the Futera Network nor do such comments reflect the opinions or policies of the Futera Network.

Venue and Choice of Law

This Terms of Use / Privacy Policy shall be governed by English law. You hereby irrevocably consent that the courts of England and Wales shall have exclusive jurisdiction to hear and determine or otherwise settle all and any disputes which may arise out of or in connection with this Agreement or its subject matter.
